Aile Aviation Services B.V. is committed to the highest standards of corporate governance and to sustaining these standards on a continuous and long-term basis. Our governance framework directly supports our strategic objective of creating sustainable value for all interested parties — including customers, shareholders, employees, partners, regulators and society.

In line with ISO 9001:2015, our governance system is designed to ensure leadership accountability, risk-based decision-making, operational control and continual improvement.

 

Leadership & Accountability

Aile Aviation Services operates under a clear and documented governance structure that separates:

  • The Managing Board, responsible for strategic direction, operational execution and the effectiveness of the Quality Management System (QMS); and
  • The Supervisory Board, responsible for independent oversight, long-term continuity and safeguarding stakeholder interests.

Top management demonstrates leadership and commitment by:

  • establishing the company’s strategic direction,
  • ensuring that quality, compliance and ethical conduct are embedded into business processes, and
  • promoting a culture of integrity, transparency and continuous improvement.

Integrity, Transparency and Ethical Conduct

Our governance framework is founded on three fundamental principles:

  • Integrity – all activities are conducted ethically, lawfully and in accordance with applicable aviation, trade and regulatory frameworks.
  • Transparency – relevant, accurate and timely information is made available to stakeholders.
  • Accountability – responsibilities, authorities and reporting lines are clearly defined and monitored.

These principles ensure that governance, quality and compliance are fully integrated.

 

 Risk-Based Governance

Aile Aviation Services applies risk-based thinking to corporate governance, operational planning and strategic decision-making.

This includes:

  • identifying internal and external risks affecting business continuity, compliance and customer satisfaction,
  • evaluating the impact of these risks, and
  • implementing proportionate controls and mitigation measures.

Risk management is embedded in both board-level oversight and day-to-day operational management.

Compliance & Control

The company maintains documented systems and controls to ensure:

  • regulatory compliance (aviation, export control, sanctions, financial and corporate law),
  • reliable financial and operational reporting, and
  • controlled execution of all commercial, logistical and compliance-critical activities.

Governance processes are supported by documented procedures, trained personnel and system-based controls.

 

Performance Monitoring & Audit

Governance effectiveness is monitored through:

  • management reviews,
  • internal and external audits,
  • compliance reviews, and
  • supervisory oversight.

These processes provide assurance that:

  • objectives are being met,
  • risks remain under control, and
  • governance remains effective and aligned with strategic goals. 

Continual Improvement

Aile Aviation Services applies continual improvement to its governance framework, just as it does to its operational and quality systems.

Findings from audits, incidents, stakeholder feedback and performance reviews are used to:

  • correct weaknesses,
  • prevent recurrence, and
  • strengthen governance, compliance and transparency over time.

Dutch Corporate Governance Code Alignment

Although Aile Aviation Services B.V. is not legally required to comply with the Dutch Corporate Governance Code, we voluntarily align our governance framework with its core principles as a matter of best practice.

Any material deviations are transparently disclosed in the Annual Report.

 

International Governance Responsibility

As an internationally operating aviation and services organisation, Aile Aviation Services recognises that strong corporate governance, combined with ISO-based management systems, is essential to maintaining trust with customers, regulators and business partners worldwide.
